DEFENDING THE CLIENT AGAINST A CLAIM FOR RETURN OF REMUNERATION

Our law firm is supporting the Client in a complex yet interesting commercial dispute.

The Client’s business partner has filed a claim demanding the return of remuneration paid to our Client over the course of a 15-year collaboration. The opposing party initiated the claim in the context of an ongoing corporate dispute, in which two conflicting factions are accusing each other of acting to the detriment of the company.

As part of the proceedings, our firm conducted a legal assessment of the chain of agreements binding the parties. The analysis clearly indicates that the relationship between them corresponds to an agency agreement.

The court adjudicating the matter will need to assess evidence spanning 15 years of cooperation — which will undoubtedly be a considerable challenge for all parties involved.

SHAREHOLDERS’ MEETINGS, GENERAL MEETINGS

As every year, the Trenda Group team supported clients at the end of the financial year. We have helped prepare, conduct and represent our clients at more than 10 ordinary meetings closing the year 2023 (including those companies in which relations between shareholders can be said to be tense).

However, support at the closing of the financial year does not only mean assistance with meetings, but also means advice on:

  • issues related to the payment of dividends or leaving them in companies in such forms as not to generate unnecessary costs (including tax costs),
  • tax matters, such as the need to withhold tax (WHT),
  • preparing auditors’ opinions.

We continue to operate actively in the scope described above, for those customers who, for example, due to the seasonality of their business, have changed the financial year, distinguishing it from the calendar year.

CLOSING OF THE TRANSACTION – AWE POLAND JOINS POLGAST SP. Z O.O. GROUP

On July 2, 2025, the acquisition of 100% of shares in AWE Poland sp. z o.o. with its registered office in Bydgoszcz was finalized. The new owner was the Polgast company, and the seller was its founder and long-term President – Mr. Janusz Głowiński.

AWE is a renowned manufacturer of hygiene control equipment and specialist stainless steel furniture, present on the market for over 35 years. The company exports nearly half of its production to over 20 countries around the world.

The transaction was advised on the buyer’s side by CMT Advisory and Trenda by dr Jakubowicz Węgrzyński i Wspólnicy, and the financing partner was PKO Bank Polski.

The seller’s side was advised by GrantThornton.

TRANSACTION: BUYOUT OF A MINORITY SHAREHOLDER AND END OF A LONG-STANDING CORPORATE DISPUTE

The Trenda Group team successfully supported the Client – the majority shareholder of a joint-stock company – in the difficult process of negotiating and developing an agreement ending a long-term, multi-million corporate dispute.

Key elements of the transaction included:

 – sale of shares in a joint-stock company,

 – sale of shares to a company registered in a foreign jurisdiction.

ASSET DEAL IN BERLIN

The Trenda Group team advised on an asset deal governed by German law, the subject of which was an attractive property located in Berlin. The project was conducted in cooperation with German partners.

DEFENDING THE CLIENT AGAINST A CLAIM FOR REIMBURSEMENT OF REMUNERATION

The Law Firm supports the Client in a complex and multi-threaded commercial dispute concerning settlements for 15 years of cooperation with a business partner.

The opponent seeks reimbursement of the remuneration paid, justifying the claim with an internal corporate conflict in which the feuding groups accuse each other of acting to the detriment of the company.

In the course of the case, Trenda Group’s lawyers qualified the chain of contracts between the parties, demonstrating that the legal relationship corresponded to the relationship created on the basis of the agency agreement.

TRANSACTION – ENTRY OF A US INVESTOR INTO A COMPANY FROM THE CLIENT’S GROUP

Trenda Group supported the Client in the transaction of the investor’s entry into one of the companies from the group operating simultaneously in the USA and Poland.

The subject of the transaction was the addition of an industry investor to the structure of an American LLC – operating on the same product market in the United States.

The transaction was carried out under significant time pressure and its implementation required close coordination between the teams from Poland and the USA.

The client continues to develop its distribution network on the US market, and the investor’s involvement opens new expansion prospects.
