TRANSACTION – SEPARATION OF TWO CAPITAL PARTNERS AFTER A LONG-YEAR-LONG DISPUTE
Design: an agreement between two telecommunications undertakings ending a long-term and multifaceted conflict regulating:

• transfer of shares for redemption of a limited liability company and the related reduction of the share capital,
• offsetting mutual debts (worth several dozen million zlotys),
• the method of using the telecommunications network, their co-use and the rules for its return after the agreed time

Activities: drafting transaction documents, negotiations, participation in project closure

TRANSACTION

Design: support in obtaining non-bank financing, under which an important aspect of this project was the construction of a security consisting in the fiduciary transfer of a minority block of shares, enabling the conversion of financing into equity participation

REAL ESTATE TRANSACTION
Industry: planning
Design: conducting a project for the sale of a tenement house in the center of Warsaw, the sale process lasted over two years
Activities: negotiations, support in the assessment of contractors in terms of the ability to perform the contract and pay the price, drafting transaction documents

TRANSACTION – FINANCING OF AN ENTITY SAVING AGAINST BANKRUPTCY
Design: investment in an entity listed on the Warsaw Stock Exchange, operating on the basis of its concessions, with prior granting of mezzanine financing, the next stage involved conversion of financing into the company’s capital, however, after the UOKiK consented to the concentration of entrepreneurs
Activities: drafting transaction documents, negotiations, red flag due diligence

TRANSACTION – JV AGREEMENT
Industry: medical supplies
Design: establishing a joint venture company with a partner from Slovakia for the client

Design: transfer of rights and obligations under sub-agency agreements enabling management of the telecommunications sales network

Design: acquisition of an organized part of the enterprise constituting a network of points of sale for mobile telephony services and products
Activities: conducting due diligence, drafting transaction documents, participation in negotiations and closing

DISPUTES – ACTS OF UNFAIR COMPETITION
Design: representing the defendant – a telecommunications undertaking with a significant position on a given market – in a dispute brought against it by a direct competitor, the plaintiff alleged that the defendant committed acts of unfair competition consisting in disseminating false or misleading information, as well as hindering the plaintiff
Actions: representing the client in a process that ended positively for him

TRANSACTION – SUCCESSION
Industry: fashion – sales in shopping centers and on-line
Design: business succession consisting in transferring a significant share in the enterprise to the founder’s children
Actions: development of a succession concept and its implementation along with the implementation of cascading alternative solutions

TRANSACTION – ASSET DEAL
Industry: wood, furniture
Design: purchase of a wood processing installation with a landfill and related administrative decisions
Activities: preparation of transaction documentation, participation in negotiations, finalization of the transaction, issuing an opinion confirming that the subject of the transaction were assets and not ZCP

DISPUTES – SUPREME COURT – ISSUE OF TELECOMMUNICATION NETWORKS
Design: representing the defendant in a dispute over telecommunications networks, in the course of which the Supreme Court confirmed that telecommunications networks may constitute a set of means of production that does not constitute a ZCP
Actions: Representing the client in a trial that eventually ended in a settlement
