Project: advising on the structuring of a complaint to the Voivodship Administrative Court against the FSA’s decision imposing an administrative sanction on the TFI in the form of withdrawal of authorisation and fines

TRANSACTION – SHAREHOLDERS’ AGREEMENT – CONVERSION OF LOAN INTO SHARES

Project: advising a shareholder of a single-member limited liability company on the acquisition of a minority stake by a financial investor as part of the conversion of a loan into capital
Actions: drafting of the shareholders’ agreement, including schedules, including amendments to the articles of association, negotiations, transaction advice

TRAINING
Project: in 2022, we participated in conferences as speakers and conducted training sessions for private companies, public companies, companies with State Treasury participation and companies with local government units participation, the subject of which concerned one of the biggest changes to the Code of Commercial Companies involving:

• introduction of provisions on groups of companies,
• changes to the operation of supervisory boards,
• introduction of a business judgment rule in relation to the liability of members of the capital companies’ bodies

Project: advising on the conversion of the Client’s financing, related to the conversion of the debt arising from the loan agreements, taking into account the subordination to bank receivables

TRANSACTION – LEVERAGED MANAGEMENT BUY-OUT (LMBO)

Project: advising companies and key employees of the company on the buy-out of a controlling stake from the current majority shareholder
the project also included support with a parallel transaction involving the provision of financing for a management buy-out

COOPERATION AGREEMENT WITHIN THE PRODUCTION AND SALE OF FOOD PRODUCTS
